"happen to" is used to indicate something unexpected, random, by chance
We were not scheduled to meet until April, but I happen to be planning a visit to Portland next week, so I wonder if you would like to have a meeting then?
I see that you have a flat tire. You are lucky because the nearest car repair shop happens to be right around the corner.
If you happen to be needing a new phone, you may like to know that we are having a sale this week. This is an indirect way of saying "If you need a new phone, ...". By adding "happen to", it is considered more polite, less pushy.
